Terms of Service

These Terms of Service ("Terms") govern your access to and use of UUX.co, a productized unlimited UX design subscription service operated by DEV.co ("we," "us," or "our"). By subscribing to any UUX.co plan or by submitting a design request, you agree to be bound by these Terms. If you do not agree, do not subscribe or submit requests. These Terms apply to all subscription tiers and to any one-time or session-based engagements unless a separate written agreement supersedes them.
1. Subscription Scope
A UUX.co subscription grants you access to our professional UX and UI design team for the duration of your active billing period. Work covered under the subscription includes user interface design, wireframing, prototyping, landing page design, SaaS product screens, conversion-focused design iterations, design system components, and Figma deliverables as described on our pricing page. All work is performed within the scope defined in these Terms and in the plan description associated with your subscription tier at the time of purchase. Scope not listed here or on your plan page is excluded by default and may be quoted separately.
2. Unlimited Requests Definition
"Unlimited requests" means you may add as many design requests to your queue as you wish at any time. We will work through your queue in priority order, completing one active batch before advancing to the next. "Unlimited" refers to the number of requests you may submit over the life of your subscription, not to the number of requests we work on simultaneously. Each request should be scoped to a single, clearly defined deliverable (e.g., one landing page, one onboarding flow, one set of icons). Requests that bundle multiple unrelated deliverables may be split into separate queue items at our discretion.
3. Active Request Slots
Your subscription tier determines how many requests we work on at the same time ("active slots"). Requests beyond the active-slot count sit in your queue and are pulled forward as slots open. You control priority order within your queue at any time via your client portal. If you do not provide feedback or required assets for an in-progress request within seven (7) calendar days, we may move that request to a "waiting on client" status and advance another queued item into the active slot. The paused request resumes at its original position once you supply the needed materials.
4. Revisions
Revisions are included within the subscription at no additional charge. A revision is a change to a deliverable we have already returned to you based on your feedback. We do not cap the number of revision rounds, provided each round of feedback is consolidated and submitted as a single, coherent set of notes. Submitting a revision request counts as one revision cycle regardless of the number of individual items in that feedback. Requests that materially change the original brief — such as a new audience, a different layout architecture, or a changed objective — may be treated as a new request rather than a revision.
5. Turnaround Estimates
Turnaround times stated on our website (typically one to three business days for most requests) are estimates, not guarantees. Actual delivery time depends on request complexity, asset availability, the volume of active queue items, and team capacity. We will notify you if a request requires more time than usual. We do not offer service credits or refunds based solely on a delivery that falls outside an estimated window. For time-sensitive projects, contact us before subscribing to discuss feasibility.
6. Payment
Subscription fees are billed monthly, in advance, on the date you first subscribe. Payments are processed by a third-party payment processor (currently Stripe). By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All fees are stated in US dollars and are exclusive of any taxes, duties, or levies that may apply in your jurisdiction. You are responsible for ensuring your payment method is current and valid. If a payment fails, your subscription access may be suspended until the outstanding balance is resolved. We do not offer pro-rata refunds for partial months except where required by applicable law.
7. Cancellation
You may cancel your subscription at any time through your client portal or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. You retain full access to your subscription and active work queue through the end of the period for which you have paid. There are no long-term contracts or cancellation fees. We do not provide refunds for the current billing period once it has begun, except where required by law. After cancellation, completed deliverables already transferred to you remain yours per Section 10.
8. Pausing Your Subscription
You may pause your subscription once per billing cycle for a minimum of seven (7) days and a maximum of sixty (60) days. When you pause, your remaining paid days are held and resume from where you left off when you unpause. Billing does not continue during a pause. To initiate a pause, contact us at least forty-eight (48) hours before your next billing date via the client portal or email. Pausing does not affect ownership of deliverables already completed and returned to you during the active period.
9. Client Responsibilities
To enable timely, high-quality work, you agree to:
- Provide clear, complete briefs for each request, including the purpose, target audience, and any relevant constraints or brand guidelines.
- Supply all required assets — logos, brand guidelines, existing design files, copy, imagery, and access credentials — promptly and before the request is activated.
- Consolidate feedback from all internal stakeholders before submitting a revision round. Piecemeal or contradictory feedback delays delivery.
- Respond to questions or asset requests from our team within seven (7) business days. Requests left without a response for longer may be deprioritized as described in Section 3.
- Ensure that any materials you provide (copy, images, trademarks, third-party assets) are licensed for the intended use. You indemnify us against any third-party claims arising from materials you supply.
10. Ownership of Deliverables
Upon receipt of full payment for the billing period in which a deliverable is completed, all intellectual property rights in that deliverable — including the Figma source files, exported assets, and any original artwork created by us specifically for your project — transfer to you. Prior to full payment, UUX.co retains all rights. We may use deliverables in our portfolio and marketing materials (including case studies and social media) unless you request otherwise in writing before work begins. We retain the right to use general design knowledge, techniques, and non-client-specific components developed during your engagement in future work for other clients.
11. Exclusions
The following are outside the scope of a standard UUX.co subscription and are not covered unless explicitly agreed in a separate written statement of work:
- Full-stack or front-end engineering, code implementation, or production-ready HTML/CSS development.
- Native mobile application design (iOS/Android) beyond basic screen-level UI provided as Figma mockups under eligible tiers.
- Brand identity creation from scratch — including logo design, typography selection, and brand strategy.
- Motion graphics, video production, or animated assets beyond simple interaction prototypes in Figma.
- Print design, packaging, or physical product design.
- Content writing, copywriting, or SEO copyediting.
- User research recruiting, participant sourcing, or third-party research tool costs.
- Custom illustration or icon sets beyond what is reasonably included in the agreed deliverable scope.
- Accessibility audits requiring assistive-technology testing with real users (we apply WCAG 2.2 AA principles in all design work as standard practice, but formal compliance audits are separate).
12. No Guaranteed Conversion Results
We design with conversion best practices in mind and apply evidence-based UX principles to every deliverable. However, we make no warranty, express or implied, that any design will achieve a specific conversion rate, revenue target, user-retention figure, or any other measurable business outcome. Design is one variable among many — including your traffic quality, offer, pricing, and market conditions — and results will vary. Any case studies, examples, or performance figures shared on our website are illustrative of past work only and are not a guarantee of future results for your project.
13. Limitation of Liability
To the maximum extent permitted by applicable law, UUX.co and its parent company DEV.co, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost revenue, loss of data, or loss of business opportunity — arising out of or in connection with your use of the service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total subscription fees you paid to us in the three (3) calendar months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages; where such restrictions apply, our liability is limited to the fullest extent permitted by law.
14. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will notify active subscribers by email at the address on file and update the "Last updated" date at the top of this page at least fourteen (14) days before the change takes effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms. If you do not agree with a material change, you may cancel your subscription before the effective date and receive a pro-rata credit for the unused portion of your prepaid period.
